How much does it cost to set up a company in Argentina?

Last verified: 26 Oct 2026 · Status: Changing

Short answer. In Buenos Aires City, capital drives the cash needed at signing: ARS 195,600 (US$125) for a minimum SAS, no legal minimum for an SRL, ARS 7.5 million (US$4,796) for an SA and ARS 30 million (US$19,183) for an SAU. IGJ form fees run from ARS 36,000 to 60,000. Professional fees usually exceed public fees.

As of 26 Oct 2026. Rules in force at that date.

Key rules

  • SAS: at incorporation, capital may not be lower than two minimum wages (SMVM) (Law 27.349 art. 40). With the SMVM at ARS 391,200 from 1 October 2026 and ARS 398,800 from 1 November (CNEPSMVM Res. 4/2026 art. 1(b), (c)), that is ARS 782,400 (US$500) in October and ARS 797,600 (US$510) in November. At least 25% of cash is paid in at subscription, the rest within two years (art. 41).
  • SRL: no minimum capital; 25% of cash at signing, the rest within two years (LGS arts. 148 and 149).
  • SA: minimum ARS 30,000,000 (LGS art. 186, amount set by Decree 209/2024), 25% of cash at signing. SAU: same minimum, fully paid in (LGS art. 187).

Public fees are small. In the City of Buenos Aires (CABA) the IGJ prices its forms in "módulos" of ARS 1,500 (Ministry of Justice Res. 33/2024 art. 1, in force 8 April 2024 under IGJ RG 9/2024 art. 1; Infoleg lists no later change). The ordinary incorporation costs 24 módulos for an SRL, 32 for an SA and 40 for an SAU (IGJ procedure pages). On top, DA 46/2001 arts. 2 and 3 charge an incorporation fee (stock companies) or service fee (others); its printed amounts are nominal 2001 figures and the current amount appears only on the IGJ fee system. Every type publishes a one day notice in the legal gazette (LGS art. 10; Law 27.349 art. 37), in CABA the Boletín Oficial, at its current tariff.

What changes the answer

  • Province. Provincial registries set their own fees: in 2026 the Province of Buenos Aires charges 78 tax units, ARS 21,450 (Law 15.558 arts. 53 and 58), and Mendoza ARS 140,000 for an SAS on MxM (Law 9680, Annex, art. 8). See /guide/entities/igj-vs-provinces/.
  • Foreign shareholder. A foreign company partner registers under LGS art. 123 (separate IGJ fee, DA 46/2001 art. 2 (not confirmed in an official source)) and needs apostilled, sworn translated documents (IGJ Rules art. 34(6)); apostille fees are set abroad (not confirmed in an official source).
  • Speed. The urgent route costs four times the ordinary form fee and promises registration in 5 business days if there are no observations (RG IGJ 30/2020, as cited by the IGJ page).

Step by step (cash out at signing, using only the traceable lines):

  1. SAS: 25% × 782,400 = ARS 195,600 (US$125.07). The IGJ does not publish SAS fees in módulos on its procedure pages, so they are left out of this total.
  2. SRL: 195,600 + 9,000 (name) + 36,000 (form) = ARS 240,600 (US$153.85).
  3. SA: 7,500,000 + 12,000 + 48,000 = ARS 7,560,000 (US$4,834.07); ARS 22,500,000 (US$14,387) more within two years.
  4. SAU: 30,000,000 + 12,000 + 60,000 = ARS 30,072,000 (US$19,228.85).

Capital stays in the company. In CABA, cash paid of up to two SMVM can be proved by sworn statement instead of a bank slip (IGJ Rules art. 62, as replaced by RG 11/2026), which covers the SAS and SRL figures but never an SA.

Cost to do it. * SAS: ARS 195,600 (US$125) capital, plus IGJ fee and notice (not confirmed in an official source); time (not confirmed in an official source). * SRL: ARS 240,600 (US$154), plus DA 46/2001 fee and notice (not confirmed in an official source); 5 business days once filed on the urgent route, otherwise roughly 1 to 2 months, 2 to 4 with a foreign partner (our planning estimate, not an official term). * SA: ARS 7,560,000 (US$4,834), plus deed, fee and notice (not confirmed in an official source); roughly 1 to 3 months ordinary (our estimate). * SAU: ARS 30,072,000 (US$19,229), plus deed, fee, notice and yearly síndico fees (not confirmed in an official source); roughly 2 to 4 months (our estimate).

Practical traps

  • The IGJ pages lag the rules. They warn their content is "being updated" and still ask for the precalification opinion that RG 11/2026 art. 2 removed. Module counts may change, so check the boleta before filing.
  • DA 46/2001's ARS 30 and ARS 100 are not real fees. Use the amount the IGJ fee system prints on the boleta.
  • The SAU for a single foreign owner. It must pay in all ARS 30,000,000 and, under art. 299, keep a síndico. Two shareholders in an SRL or SA avoid both.

FAQ

Is there a minimum capital for an SRL? No. The LGS sets none (arts. 146 to 149), and in CABA the IGJ no longer tests capital against the company's purpose (IGJ Rules art. 61).

What does it cost every year? SAs pay the IGJ annual fee, SRLs do not (DA 46/2001 art. 4). Every company pays personal assets tax for its shareholders at 0.50% of equity (Law 23.966, article after art. 25), plus bookkeeping and audit fees. See /guide/entities/annual-compliance/.

Do I need a local director? An SA needs an absolute majority of directors domiciled in Argentina (LGS art. 256); an SAS, at least one manager (Law 27.349 art. 51). What a local director costs is not regulated (not confirmed in an official source).
