The SAS was created by Law 27.349 in 2017 for fast, digital incorporation. In the City of Buenos Aires it is filed 100% online through the TAD platform. Minimum capital is two minimum wages, about ARS 726,000 (about US$464) at the reported May 2026 minimum wage. IGJ General Resolution 11/2026 removed the mandatory pre qualification opinion from 23 Sep 2026.

Key rules

  • Shareholders. One or more individuals or companies. An SAS cannot be controlled by or be part of companies under article 299 of Law 19.550.
  • Capital. At least two minimum monthly wages (SMVM). 25% paid at incorporation, the rest within 2 years.
  • Digital. Online instrument with digital signature; digital books without rubrication; CUIT obtained automatically; Boletín Oficial notice published automatically (IGJ and Law 27.349).
  • Purpose. Plural purposes allowed; RG IGJ 11/2026 widened this and added electronic seat, arbitration clauses and digital instruments.
  • Timeline. IGJ states registration within 72 hours, or 24 hours when there are no observations. The official investor guide reports 10 to 11 business days end to end.

Step by step

  1. Shareholders and directors obtain Argentine digital signature or TAD access (foreigners need a CUIT or CDI first).
  2. Reserve the name.
  3. File the incorporation form on TAD with model or custom bylaws.
  4. Pay fees and deposit capital as required.
  5. Receive registration, CUIT and digital books.

Practical traps

  • Foreign shareholders still need article 123 registration and apostilled documents, which removes much of the speed advantage.
  • Some provinces apply the SAS regime differently or more slowly.

Recent changes

  • 23 Sep 2026. RG IGJ 11/2026 removed pre qualification, repealed 33 articles of RG 15/24 and 6/17, and repealed RG 3/20 and 11/24.

Minimum capital depends on the current SMVM. The ARS 363,000 figure is the reported May 2026 value; check the latest wage council resolution.
