Are there restrictions on foreign investment in Argentina?
Last verified: 27 Oct 2026 · Status: Changing
Short answer. Few. Law 21.382 gives foreign investors the same rights as local ones, with no prior approval. Limits are sector specific: a 30% foreign cap in media, prior consent for land or controlling share deals in border security zones, domicile and control rules for airlines, and case by case approval for private arms factories. FX rules govern repatriation.
As of 26 Oct 2026. Rules in force at that date.
Key rules
National treatment. Foreign investors have "the same rights and obligations" that the Constitution and the laws give national investors, subject to that law and to special or promotional regimes (Law 21.382, ordered text, art. 1). They may invest "without need of prior approval" (Decree 1853/1993, art. 2), transfer realised profits and repatriate their investment (Law 21.382, art. 5), "at any time" (Decree 1853/1993, art. 5). A company with more than 49% foreign capital, or foreign voting control, is a "local company of foreign capital" (Law 21.382, art. 2(3)). No general national security screening of foreign investment was found in the sources (unconfirmed).
Sectors with limits:
| Sector | Rule | Norm |
|---|---|---|
| Media | Ownership must be national companies; foreign companies up to 30% of capital and 30% of votes, extendable by reciprocity | Law 25.750, art. 2 |
| Audiovisual licences | National capital; foreign capital up to 30% of capital and votes, and never control | Law 26.522, art. 29 |
| Rural land | The 15% national cap and 1,000 ha core zone limit (Law 26.737, arts. 8 and 10) were repealed | DNU 70/2023, art. 154 |
| Border security zones (up to 150 km from land borders, 50 km from the sea) | Prior consent for any transfer, lease or right giving possession of real estate | DL 15.385/1944, arts. 2 and 4, art. 4 as replaced by Law 23.554, art. 42 |
| Same, share deals | Prior consent for share transfers giving control of a company that owns land in the zone; later changes reported within 60 days | Res. 166/2009, art. 8 |
| Air transport | Permanent domicile in Argentina; control and direction in the hands of individuals domiciled in Argentina; chair, managers and two thirds of directors domiciled in Argentina | Aeronautical Code, art. 99, as replaced by DNU 338/2025, art. 3 |
| Defence | Private arms and munitions factories need case by case authorisation by the Executive in a general agreement of ministers | Law 12.709, art. 27 (1941 text; current force (unconfirmed)) |
Uncertain points, stated plainly. The rural land repeal and the airline rule rest on decrees of necessity and urgency. The Infoleg list of congressional resolutions under Law 26.122 shows no rejection of DNU 70/2023 or DNU 338/2025 on 26 Oct 2026, but both chambers can still reject them, and no court ruling on art. 154 was checked (unconfirmed).
Treaties and RIGI. Treaties rank above laws (Constitution, art. 75(22)). The United States treaty (Law 24.124) is recorded as in force and promises free transfers "without delay" (art. V); the Chile treaty ended on 1 May 2019 (Foreign Ministry record). Argentina is an ICSID party (Law 24.353). The RIGI adds stability (Law 27.742, art. 201) and arbitration (art. 221) only for listed sectors (art. 167), which exclude agriculture.
FX. Repatriation by non residents needs BCRA prior approval except in listed cases. Cash direct investment settled through the FX market from 21 Apr 2025 can leave after 180 calendar days (BCRA "Exterior y Cambios", point 3.13.1.7(i)). Dividends need audited statements (point 3.4.1) and, as the main route, profits of fiscal years starting from 1 Jan 2025 (point 3.4.4.1). A RIGI vehicle repatriates with no minimum stay (point 14.2.3).
What changes the answer
- Location. Outside the border zone the land deal needs no consent at all.
- Sector. Media, broadcasting, airlines and arms carry their own limits; check the restricted sectors page.
- A DNU reversal. If Congress rejects DNU 70/2023, or a court strikes down art. 154, the rural land caps could return.
- Size. Projects in RIGI sectors above the minimum (US$200 million in most, per Decree 105/2026) get faster repatriation and stability.
Worked examples
A US agribusiness buys 100% of AgroCo SA from two Argentine resident shareholders. AgroCo owns a 1,500 ha farm in Corrientes, a border province under Decree 253/2018, assumed inside the zone (unconfirmed). Price US$6,000,000 and a US$1,000,000 irrigation contribution are assumptions. Rate: dolar MEP ARS 1,563.90 per US$ on 23 Oct 2026 (dólar MEP selling rate (dolarapi.com)) (unconfirmed); see /data/mep/.
| Step or item | Time | Cost ARS | Cost USD |
|---|---|---|---|
| 1. Rural land caps | none | 0 | 0 |
| 2. Prior consent (Res. 166/2009, arts. 7, 8, 11) | up to 60 business days (unconfirmed) | fee none found (unconfirmed) | fee none found (unconfirmed) |
| 3. Share price | at closing, within the 1 year consent (art. 39) | 9,383,400,000 | 6,000,000 |
| 4. Capital contribution settled 2 Nov 2026 | same day | 1,563,900,000 | 1,000,000 |
| 5. Stamp tax on the share sale | at signing | not computed (unconfirmed) | not computed |
| Total capital | 10,947,300,000 | 7,000,000 |
Step by step:
- Law 26.737 is repealed, so no hectare or percentage cap applies (DNU 70/2023, art. 154).
- After closing AgroCo is a foreign legal person (Res. 166/2009, art. 7(b)), so rural land needs the exception route with an investment project (arts. 11 and 24). The control share transfer needs prior consent first (art. 8). With no special deadline, silence after 60 days counts as denial (Law 19.549, art. 10(a), as replaced by Law 27.742, art. 31); days are business days (art. 1 bis, as added by Law 27.742, art. 25) (unconfirmed).
- Price: 6,000,000 × 1,563.90 = ARS 9,383,400,000. It is paid to the sellers, not contributed to AgroCo.
- Contribution: 1,000,000 × 1,563.90 = ARS 1,563,900,000. Settled 2 Nov 2026, it can be repatriated from 1 May 2027 (180 days, point 3.13.1.7(i)).
- Dividends: only from audited profits of fiscal years starting from 1 Jan 2025 (points 3.4.1 and 3.4.4.1).
Cost to do it: US$7,000,000 (ARS 10,947,300,000) of capital; no government consent fee found (unconfirmed); stamp tax, notary and translation costs not computed (unconfirmed); about 3 to 4 months on the legal clocks, actual processing time (unconfirmed).
Practical traps
- Buying shares is not a "contribution". Point 3.13.1.7 covers an "aporte de capital" settled through the FX market. Whether a price paid to resident sellers qualifies is not stated (unconfirmed). Settle fresh capital into the company if you want the 180 day route.
- "At any time" is not FX access. Decree 1853/1993, art. 5, says it; banks apply the BCRA rules instead.
- Ownership changes after approval. Changing AgroCo's shareholders later must be reported within 60 days (Res. 166/2009, art. 8).
FAQ
Do I need government approval to invest? No general approval (Decree 1853/1993, art. 2). Sector licences and border zone consent still apply.
Can a foreigner own farmland? Yes since DNU 70/2023, art. 154, subject to the border zone regime and the DNU risk above.
Does a foreign shareholder change my company's legal status? Above 49% foreign capital or voting control it becomes a local company of foreign capital (Law 21.382, art. 2(3)). That matters for media and border land rules.
Is a treaty enough to bypass FX rules? The US treaty promises free transfers (art. V), but enforcing that means arbitration, not a bank instruction.
